The work involves conducting a due diligence exercise involving the examination of accounting records, contracts, systems etc. In addition to the due diligence exercise there will be negotiations, meetings, heads of agreement to be drafted, warranties and the final contract. The costs associated with such an exercise can be huge. The instructing company usually instructs external accountants and solicitors and has to co-ordinate all of the external activities.
